If you have decided to structure your new business as a company limited by shares, you need to take care in choosing a company name.
The Registrar of Companies will not register a name if its use would, in the opinion of the Secretary of State, constitute a criminal offence or, in the opinion of the Secretary of State, it is offensive or it is the same as a name already registered on the Index of Company Names.
Names that imply a connection between the company and the government, a local authority or any public authority must be approved in advance by the Secretary of State. Some proposed names need consent from other regulatory bodies. For example, if you wish to use “Sheffield” in your name you would need permission from the Company of Cutlers.
It is free to search the Companies House register and you should always do so before deciding on a name to make sure that the name is not already in use.
