{"id":832,"date":"2015-06-12T10:52:02","date_gmt":"2015-06-12T10:52:02","guid":{"rendered":"http:\/\/www.tayloremmet.co.uk\/blogsite\/?p=832"},"modified":"2015-06-12T10:52:02","modified_gmt":"2015-06-12T10:52:02","slug":"latest-developments-in-tupe","status":"publish","type":"post","link":"https:\/\/www.tayloremmet.co.uk\/blogs\/latest-developments-in-tupe\/","title":{"rendered":"Latest developments in TUPE"},"content":{"rendered":"<p><a href=\"https:\/\/www.tayloremmet.co.uk\/blogs\/wp-content\/uploads\/2016\/09\/TE.jpg\"><img fetchpriority=\"high\" decoding=\"async\" class=\"alignleft size-medium wp-image-1295\" src=\"https:\/\/www.tayloremmet.co.uk\/blogsite\/wp-content\/uploads\/2016\/09\/TE-300x300.jpg\" alt=\"\" width=\"300\" height=\"300\" srcset=\"https:\/\/www.tayloremmet.co.uk\/blogs\/wp-content\/uploads\/2016\/09\/TE-300x300.jpg 300w, https:\/\/www.tayloremmet.co.uk\/blogs\/wp-content\/uploads\/2016\/09\/TE-150x150.jpg 150w, https:\/\/www.tayloremmet.co.uk\/blogs\/wp-content\/uploads\/2016\/09\/TE.jpg 400w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/a>The last few months have seen some interesting cases as the law in relation to TUPE, and in particular service provision changes, continues to develop.<\/p>\n<p>Hot off the press is the case of <em><span style=\"text-decoration: underline;\">Jinks v London Borough of Havering<\/span><\/em> where the EAT considered \u00a0how TUPE applies to service provision changes involving a subcontractor.<\/p>\n<p>The London Borough of Havering (the Council) owns a site comprising of an ice rink and a car park. The Council contracted out the management of the site to Saturn Leisure Ltd (Saturn). Saturn subsequently subcontracted the management of the car park to Regal Car Parks Ltd (Regal). In mid April 2013 the ice rink closed. The car park remained open for a few weeks but Saturn gave up occupation of the whole site at the end of April 2013. The Council granted a license to an NHS Trust to use the car park for a few months and then converted it into a public car park, taking over its management internally.<\/p>\n<p>The Claimant was originally employed by Saturn and transferred under TUPE to Regal when Saturn subcontracted the management of the car park to Regal. He then claimed that his employment transferred under TUPE to the Council when they took the management of the car park back inhouse. When the Council refused to accept he was an employee, the Claimant brought a claim for constructive unfair dismissal.<\/p>\n<p>The Tribunal struck out the Claimant&#8217;s claim at a preliminary hearing on the basis that a service provision change can only include a situation where activities \u201ccease to be carried out by a <span style=\"text-decoration: underline;\">contractor<\/span> on a client\u2019s behalf, and are carried our instead by the client on his own behalf\u201d. The Tribunal Judge said TUPE did not apply here as the client must be the same both before and after the transfer. Here, Saturn had been Regal\u2019s client and not the Council. Therefore there was no contractual relationship between the Council and Regal.<\/p>\n<p>However the EAT disagreed with this approach; it instead focused on who was the ultimate client of Regal- was it the Council? \u00a0The EAT noted that TUPE widens the meaning of \u201ccontractor\u201d so it can be treated as including the word \u201csub-contractor\u201d. This meant a service provision change could extend to activities that cease to be carried out by a sub-contractor on a client\u2019s behalf and which are then carried out instead by the client on its own behalf. The EAT also decided that the question of who the client was in this case was a matter of fact not law. \u00a0The EAT concluded too narrow an approach had been taken by the Tribunal in not considering whether the Council could also be Regal\u2019s client and so the case was remitted to a fresh Tribunal.<\/p>\n<p>The EAT&#8217;s decision is perhaps not surprising because pretty much the only definition of a &#8220;contractor&#8221; in TUPE is that is can include a subcontractor. There is also European case law on TUPE which suggests that transfers can take place between subcontractors. I have personally been involved in cases where Tribunals have accepted this proposition.<\/p>\n<p>Another case to continue the debate about what amounts to an &#8220;organised grouping of employees&#8221; for the purposes of a service provision change under TUPE is\u00a0<em><span style=\"text-decoration: underline;\">Rynda (UK) Ltd v Rhijnsburger.<\/span><\/em>\u00a0 In this case the Claimant was a commercial property manager and one of her main responsibilities was to manage a group of Dutch properties owned by the Rynda Group. The Claimant was originally employed by Drivers Jonas, and after Drivers Jonas was acquired by Deloitte to form Drivers Jonas Deloitte LLP (DJD), the Claimant\u2019s employment transferred to DJD where her sole responsibility was to manage the Dutch properties and no one else assisted her in these duties. After the transfer, DJD decided to withdraw from managing the entire property portfolio and the Rynda Group arranged for its subsidiary (Rynda UK) to manage these properties. The Claimant\u2019s contract ended and she started working for Rynda UK as a senior asset manager, doing exactly the same job as before. Less than a year into this role she was dismissed. The Claimant needed to establish that the final transfer was a relevant transfer under TUPE in order to establish that she had the sufficient service to bring an unfair dismissal claim against Rynda UK.<\/p>\n<p>The Court of Appeal held the Claimant was an &#8220;organised grouping of employees&#8221; for the purposes of the TUPE Regulations. It concluded that she was effectively a one-person department and the employer had deliberately allocated her to the Dutch properties. Upon the transfer of the client&#8217;s entire portfolio to Rynda UK, there was a service provision change and the Claimant transferred over.<\/p>\n<p>In the Court&#8217;s leading Judgment, it identified a four stage process for Tribunals to follow in future cases of this type;<\/p>\n<ul>\n<li>Identify the service which the transferor was providing to the client.<\/li>\n<li>List the activities which the staff of the transferor performed in order to provide that service.<\/li>\n<li>Identify the employee or employees of the transferor who ordinarily carried out those activities.<\/li>\n<li>Consider whether the transferor organised that employee or those employees into a &#8220;grouping&#8221; for the principal purpose of carrying out the listed activities.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>This is useful guidance from the Court of Appeal. There have been an increasing number of cases over the last few years where TUPE has been found <span style=\"text-decoration: underline;\">not<\/span> to apply because of the lack of an organised grouping of employees (following the leading decision in\u00a0<span style=\"text-decoration: underline;\"><em>Eddie Stobart Ltd v Moreman and others [2012] IRLR 356 (EAT) <\/em><\/span>in which I appeared for the successful party).<em>\u00a0<\/em>However, this latest decision is a reminder that just one person can amount to an &#8220;organised grouping of employees&#8221;, and indeed, TUPE specifically says that.<\/p>\n<p>In the unusual case of <em><span style=\"text-decoration: underline;\">NHS Direct NHS Trust v Gunn<\/span><\/em>\u00a0a disabled employee objected to the transfer of her employment under TUPE as the transferee indicated it would not continue existing adjustments to her working hours. She brought proceedings against the transferee for breach of its duty to make reasonable adjustments. The major question was whether she was protected against discrimination by the transferee as a &#8220;job applicant&#8221; (as she did not actually TUPE transfer over).<\/p>\n<p>Ms Gunn suffers from rheumatoid arthritis and is disabled for the purposes of the Equality Act 2010. She worked for Shropshire Doctors in the &#8220;111 service&#8221; which was provided on behalf of the NHS. In light of her disability, Shropshire Doctors reduced her contractual hours to eight and a half hours a week, subject to review from time to time. In late 2012, the NHS proposed transferring the 111 service to NHS Direct from March 2013. It was accepted that this was a TUPE transfer. NHS Direct notified Ms Gunn that it required all of its staff to work at least 15 hours a week and rejected her offer to work ten hours. Ms Gunn considered that she would be unable to cope with working increased hours and objected to the transfer of her employment to NHS Direct. She accepted a different role with Shropshire Doctors on reduced terms as to pay and hours.<\/p>\n<p>Ms Gunn complained to an Employment Tribunal that NHS Direct had breached its duty to make reasonable adjustments. NHS Direct applied to have the claim struck out on the basis that Ms Gunn was not protected under the relevant section of the Equality Act 2010. \u00a0The Tribunal dismissed the application and found that Ms Gunn was protected as an &#8220;applicant&#8221; and so could proceed with her claim. It held that:<\/p>\n<ul>\n<li>NHS Direct had made an &#8220;offer of employment&#8221; to Ms Gunn to work 15 hours a week.<\/li>\n<li>Ms Gunn&#8217;s request to work ten hours was akin to an &#8220;application&#8221;.<\/li>\n<li>TUPE was irrelevant.<\/li>\n<\/ul>\n<p>The Employment Appeal Tribunal (EAT) ultimately agreed with the Tribunal&#8217;s view but not with the reasoning behind it. The EAT found that the transferee had not made an offer of employment to the employee in relation to her existing contract. TUPE is based upon the principle that an employee&#8217;s contract of employment will continue with the transferee exactly as it had done with the transferor. By objecting to the transfer, the employee could not be regarded as an applicant as there was already a contract of employment in place and the transferee could not have made an offer of employment. In essence, there was no room for any &#8220;offer of employment&#8221; from NHS Direct because rights and obligations under the contract of employment automatically transfer under TUPE.<\/p>\n<p>However, in this particular case, when the transferee wrote to the Claimant, it informed her that the location of her job would be changing following the transfer and offered her \u201csuitable alternative employment\u201d. By using these words, it created a potential redundancy situation and so the transferee had made an offer of a new job to the Claimant. She was therefore a job applicant not by TUPE transfer but by way of the redundancy situation and the offer of suitable alternative employment. When NHS Direct refused her counter offer of working hours, NHS Direct in effect opened the door to claims of disability discrimination for failing to make reasonable adjustments.<\/p>\n<p>This is a curious case and a curious decision. Many employees in the position of Ms Gunn would have brought a claim for unfair dismissal against her current employer or for automatic unfair dismissal against NHS Direct. Alternatively they would have transferred to NHS Direct and then if they did not make the reasonable adjustments required of them as the new employer, Ms Gunn could have brought an appropriate claim of disability discrimination against them at that point.<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>The last few months have seen some interesting cases as the law in relation to TUPE, and in particular service provision changes, continues to develop.
